Advocate Ora Dvir is a senior partner and head of the Banking and Finance Department at Weksler Bregman & Co.

Ora joined the firm in 1989 as a senior partner in the banking and capital market department.

Prior to joining the firm, she worked at the Bank of Israel, as deputy to the Bank’s principle legal consultant, and served, inter alia, as a legal advisor to the foreign exchange supervisory department, the Supervisor of Banks, and the monetary department.

Ora is regarded as one of Israel’s most accomplished practitioners in the fields of banking and finance, the capital market and securities law, with unique expertise in international commercial transactions, mergers and acquisitions and the issuance of securities to the public.

Over the years, Ora has been personally ranked as one of the Israel’s leading lawyers by leading Israeli and international rating guides. The international rating company Chambers & Partners ranked Ora personally in the field of banking and finance and in banking and financial regulation. The international ranking publication “Legal 500” ranked Ora as a “recommended” lawyer in banking and financing, based, inter alia, on her long legal‑regulatory experience.

In 2008, Advocate Dvir received the “Women in Law” award from the Israel Bar Association, for her achievements in the legal field.

Duns 100 gave our firm’s banking and finance department, led by Ora, the prestigious ranking of a “Leading Firm”, and BDI gave the department the prestigious rating of “ELITE”.

Ora deals with complex legal issues in the areas of banking and the capital market and, inter alia, provides legal advice on banking legislation and regulatory requirements, as well as in respect of large, complex banking transactions.

 

Over the years, Ora has acquired much experience and an enviable reputation in guiding complex, high profile commercial transactions. Ora provides legal services to banks as well as to financial institutions and entities, including with respect to corporate governance, banking licensing, the purchase and sale of controlling interests in banks, banking regulation, and representing clients with regulatory bodies, including the Bank of Israel, the Supervisor of Banks and the Supervisor of the Capital Market, Insurance and Savings.

In this context, Ora has accompanied the sale and purchase of leading banks and corporations in Israel, and represented, inter alia, the group of sellers in the sale of one of Israel’s leading holding groups and in the Bronfman Group’s acquisition of control in Israel Discount Bank Ltd., as well as in several transactions involving the off-market sale of the means of control. In the context of this activity, Ora provided full legal support and representation for the Bronfman Group in all business aspects of its ownership of the controlling shares in Discount Bank and represented the Group with the authorities on all matters relating to its control in Bank Discount including the licenses and approvals required for that purpose.

Ora has provided ongoing legal advice on all aspects of the activities of the Tel Aviv Stock Exchange Ltd., the Stock Exchange Clearing House and the MAOF Clearing House. This has entailed the provision of legal advice on legislation relating to the stability of the clearinghouses, on the Stock Exchange’s agreements with entities in Israel and abroad, relating to the trading and clearing of securities traded on the Stock Exchange, and to a variety of issues concerning the registration of securities, the trading of securities on the Stock Exchange and the members of the Stock Exchange, including formulating and drafting changes to the Stock Exchange regulations, its guidelines and in the clearing house rules.

In the context of this work, Ora handled all the legal aspects entailed in legislating the Securities Law (Amendment No. 63) 2017, whose objective was to enable the change in the ownership structure of the Tel Aviv Stock Exchange, by turning it into a for-profit company.
